Terms & Conditions for Empanelled Doctors

(Referral-Based Home Healthcare Services)

These Terms & Conditions (“Terms”) govern the empanelment and professional engagement between Vyora Healthcare Private Limited (“Vyora Healthcare”, “Company”, “We”, “Us”) and the empanelled/partner doctor (“Doctor”, “You”) who refers patients to Vyora Healthcare for home healthcare services.

By submitting the empanelment form, or continuing association with Vyora Healthcare, the Doctor agrees to be legally bound by these Terms.

1. Nature of Engagement

1.1 Empanelment with Vyora Healthcare is based on a doctor-initiated referral model and is non-exclusive.

1.2 The Doctor is an independent medical professional and nothing in this arrangement shall be construed as employment, partnership, agency, or joint venture.

1.3 Vyora Healthcare provides home healthcare services only to patients referred by the empanelled Doctor.

2. Scope of Services

2.1 Vyora Healthcare shall provide home healthcare services including, but not limited to, nursing care, physiotherapy, attendants, diagnostics coordination, medical equipment support, and allied services as per the referring Doctor’s medical advice.

2.2 Vyora Healthcare does not independently diagnose, prescribe, or provide medical consultation, except where legally permitted.

2.3 The Doctor shall remain the primary treating physician for all referred patients.

3. Professional Responsibility

3.1 All medical decisions, diagnosis, prescriptions, and treatment plans shall be the sole responsibility of the referring Doctor.

3.2 Vyora Healthcare staff shall deliver services strictly in accordance with the Doctor’s instructions and accepted clinical protocols.

3.3 Vyora Healthcare shall not interfere with the Doctor’s clinical judgment.

4. Eligibility & Compliance

4.1 The Doctor confirms that they:

• Hold valid medical qualifications

• Are registered with the appropriate Medical Council / NMC

• Are legally permitted to practice medicine in India

4.2 The Doctor shall immediately inform Vyora Healthcare of any suspension, cancellation, or restriction of their medical registration.

5. Liability & Indemnity

5.1 The Doctor shall be solely responsible for any claims arising out of medical negligence, incorrect diagnosis, or clinical decisions.

5.2 Vyora Healthcare shall not be liable for medical outcomes, complications, or adverse events related to treatment.

5.3 The Doctor agrees to indemnify and hold harmless Vyora Healthcare from any claims, damages, or legal proceedings arising due to the Doctor’s professional acts or omissions.

6. Ethical & Legal Compliance

6.1 Patient referrals shall be made strictly in compliance with NMC ethics and applicable laws.

6.2 Vyora Healthcare does not offer or pay illegal referral fees, kickbacks, or inducements.

6.3 Any professional fee arrangement, if applicable, shall be transparent and legally compliant.

7. Branding & Representation

7.1 The Doctor grants Vyora Healthcare permission to use their name, qualifications, clinic/hospital name, and logo (if provided) for website display and professional marketing purposes.

7.2 Vyora Healthcare shall not misrepresent the Doctor’s credentials.

8. Confidentiality & Data Protection

8.1 Both parties shall maintain strict confidentiality of patient information and medical records.

8.2 The Doctor agrees to comply with applicable data protection and medical confidentiality laws.

9. Termination

9.1 Vyora Healthcare reserves the right to suspend or terminate empanelment without prior notice in case of:

• Breach of these Terms

• Ethical violations

• Patient safety concerns

• Legal or regulatory non-compliance

9.2 The Doctor may request voluntary removal from empanelment by written communication.

10. Limitation of Role

Vyora Healthcare’s role is limited to execution and coordination of home healthcare services. Vyora Healthcare shall not be responsible for clinical outcomes, delays caused by patient availability, or force majeure events.

​

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
Courts of panchmahal , Gujarat shall have exclusive jurisdiction.

12. Acceptance

By submitting the empanelment form the Doctor confirms acceptance of these Terms & Conditions.
